Corporate Development Services

Successful companies have a short AND a long term focus on their business model.

They don't simply rely on day-to-day trading operations to drive growth to outperform their peers. These companies maintain a strategy to continuously hunt for (M&A) opportunities, frequently monitor the entire portfolio to ensure that their assets are still future proof and in line with its strategic agenda, and consider where a strategic partnership is needed to achieve mutual goals.

Corporate development creates these visions and forges values for every stakeholders. A close link between these strategic goals and operational reality is a key factor of success and requires a dedicated focus on the different elements of your value chain:

Customer & market segment

Do you have the right strategy in place that builds market share by optimal usage of your assets? Can you leverage these assets in segments outside your sphere of business? Or do you quickly need to upscale by acquiring an external customer bases?

Product Portfolio

Products & services drive the (operational) complexity of your company. Finding the right balance between tailor made products, off-the shelf solutions and market demand is a never ending exercise.

Distribution

Distribution channels are a key element of your commercial strategy. Having the right mix, with appropriate market coverage and an efficient return on commercial investments is a necessity to improve the commercial success of your company.

New Business Models

Is your current model vulnerable for disruption brought by new players? How can you deal with these new models? How can you embrace and implement them?

New technologies

Are your technologies future proof? Or are there new technologies or solutions on the market that can provide your company operational, commercial or strategic advantage vs competition?

How can we help?

We have always conduct our project according to following approach:

  • Clear understanding of the "as-is" situation by performing a SWOT analysis of the value chain and the current operations, making an operational benchmark against peers and identifying the need
  • Design the "could be" scenario by identifying potential solutions and the implications on the company's or business unit's strategy and business plan
  • Upon selection of the most optimal target, structure or solution, execution starts. This contains the development and the valuation of the business plan, performing sensitivities scenarios on the key drivers and if needed, a due diligence to determine the impact of these drivers and to spot potential critical issues
  • Additionally, the deal will be structured from a legal, financial (including tax), operational and corporate governance perspective
  • Post deal, we will execute and implement the post deal integration plan, which is developed during the course of the project with a close collaboration of the responsible managers
  • During these projects we foresee extensive management reporting, including the identification of key milestones and 'Go/no Go' decision moments
